Clients are expected to provide timely access to systems, accurate information about their technology environment, and prompt communication when issues arise. Ma3SP's ability to deliver services effectively depends on client cooperation and access. Ma3SP is not responsible for service degradation resulting from the client's failure to provide necessary access or information.
Project-based services (website development, one-time migrations, VoIP installations) are governed by a statement of work that details deliverables, timelines, and payment milestones. These terms apply alongside any such statements of work.
Payment terms for Ma3SP services are specified in individual service agreements. The following general terms apply to all engagements:
Billed monthly in advance. Payment is due within 15 days of invoice date.
Payment milestones defined in the statement of work. A deposit is required before project work begins.
Accounts more than 30 days past due may result in service suspension. Reasonable late fees may apply on overdue balances.
Disputes must be raised within 10 business days of invoice receipt. Undisputed portions remain due.
All fees are exclusive of applicable taxes, which are the client's responsibility.
We do not store payment card information. All payment processing uses PCI-DSS compliant third-party processors.
Ma3SP website content: All content on the Ma3SP Technology website — including text, graphics, design, tools, and code — is the intellectual property of Ma3SP Technology and is protected by applicable copyright and intellectual property laws. You may not reproduce, distribute, or use our content without written permission.
Client work product: For website development and custom deliverables, ownership of work product is specified in the applicable statement of work. Unless otherwise agreed in writing, Ma3SP retains ownership of general frameworks, templates, and tools used in the delivery of services, while clients receive a license to use the specific deliverables created for their project.
Client data: All data belonging to clients remains the property of the client. Ma3SP processes client data solely for the purpose of delivering contracted services and does not claim any ownership rights over client data.
The Ma3SP Technology website, including all content, tools, and free resources, is provided "as is" and "as available" without warranties of any kind, either express or implied. This includes but is not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Ma3SP may terminate or suspend access to the website or any associated tools at any time, with or without notice, for any reason including violation of these terms. Termination of website access does not affect any rights or obligations under an existing service agreement.
Termination provisions for ongoing service engagements are specified in the applicable service agreement. Generally, either party may terminate managed services with 30 days written notice unless the service agreement specifies a different notice period or minimum term.
Upon termination of a service engagement, Ma3SP will cooperate in good faith to ensure a smooth transition, including returning client data in a reasonable format and providing reasonable transition assistance as agreed.
These Terms of Service are governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict of law provisions. Any legal proceedings arising from these terms or Ma3SP's services shall be brought exclusively in the state or federal courts located in Elkhart County, Indiana.
Any dispute shall first be subject to good-faith negotiation between the parties for up to 30 days.
If negotiation fails, the parties agree to attempt mediation before pursuing any legal action.

Ma3SP reserves the right to modify these Terms of Service at any time. When changes are made, we will update the "Last updated" date at the top of this page. Material changes will be communicated to active clients via email.
Your continued use of the Ma3SP website after updated terms are posted constitutes acceptance of the revised terms. If you disagree with updated terms, please contact us before continuing to use our services.
For active service clients, changes to contractual terms are governed by the amendment provisions in the applicable service agreement, not by this website policy alone.
