Acceptance of Terms

These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("Client," "you," or "your") and MA3SP Technology, a managed service provider headquartered in Goshen, Indiana ("MA3SP," "we," "us," or "our"). These Terms govern your use of our website located at ma3sp.technology and any services, programs, or communications provided by MA3SP Technology.

By accessing our website, requesting a quote, entering into a service agreement, or otherwise engaging with MA3SP Technology in any capacity, you acknowledge that you have read, understood, and agree to be bound by these Terms and any policies referenced herein, including our Privacy Policy.

If you are agreeing to these Terms on behalf of a business or other legal entity, you represent that you have the authority to bind that entity to these Terms. If you do not agree to these Terms, please refrain from using our website or services.

Services Described

MA3SP Technology provides managed IT services, cybersecurity solutions, cloud infrastructure support, technology consulting, and related professional services to small and mid-sized businesses in the South Bend, Elkhart, and Goshen, Indiana area and beyond.

Specific services rendered to you will be outlined in a separate Service Agreement, Statement of Work, or Managed Services Agreement ("Service Agreement") executed between you and MA3SP Technology. In the event of a conflict between these Terms and a signed Service Agreement, the Service Agreement shall control with respect to the specific services covered.

MA3SP Technology reserves the right to modify, discontinue, or introduce new services at any time. We will provide reasonable advance notice for changes that materially affect existing clients under active agreements.

Account & Access

Certain areas of our website or client portal may require you to create an account or provide login credentials. You agree to:

• Provide accurate, current, and complete information during registration and to update such information as necessary

• Maintain the confidentiality of your credentials and immediately notify MA3SP Technology of any unauthorized use of your account

• Accept responsibility for all activity that occurs under your account

• Not share your credentials with unauthorized individuals or use another person's account without permission

MA3SP Technology is not liable for any losses or damages arising from your failure to protect your account credentials. We reserve the right to suspend or terminate accounts that we reasonably believe have been compromised or misused.

Messaging & SMS Communications

MA3SP Technology may communicate with you via email, phone, and text message (SMS/MMS) to deliver service-related information, support updates, appointment reminders, and important account notices. By providing your contact information and engaging with our services, you consent to receive such communications through the channels you have made available to us.

Text Message Program Terms

By agreeing to receive reminders, updates, and support messages from MA3SP Technology, you understand that message frequency varies, and message and data rates may apply. Reply STOP to opt-out.

Additional information about our SMS program:

• You may receive messages related to service tickets, appointment confirmations, account alerts, and security notifications

• MA3SP Technology does not charge for SMS communications; however, your wireless carrier's standard message and data rates apply

• To opt back in after opting out, contact us directly or reply START to a prior message

• For help, reply HELP to any message or contact us at the information in Section 13

• Mobile opt-in data and mobile numbers will never be shared with third parties for marketing or promotional purposes

• Supported carriers include all major US carriers; however, we cannot guarantee delivery on all networks

Consent to receive text messages is not a condition of purchasing or receiving any service from MA3SP Technology. You retain the right to communicate with us through alternative channels at any time.

Payment and Billing

Fees for MA3SP Technology services are set forth in the applicable Service Agreement. Unless otherwise specified, the following payment terms apply:

• Invoices are due and payable within thirty (30) days of the invoice date unless alternative terms are specified in your Service Agreement

• Recurring managed service fees are billed monthly in advance

• Late payments may incur a service charge of 1.5% per month (or the maximum rate permitted by applicable law, whichever is less) on outstanding balances

• MA3SP Technology reserves the right to suspend services for accounts more than thirty (30) days past due following written notice

• All fees are stated in U.S. Dollars and are exclusive of applicable taxes

You are responsible for providing accurate billing information. You agree to promptly update your billing details if they change. MA3SP Technology is not responsible for service disruptions resulting from inaccurate billing information you have provided.

Intellectual Property

All content on the MA3SP Technology website — including but not limited to text, graphics, logos, icons, images, audio clips, and software — is the property of MA3SP Technology or its content suppliers and is protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our website for your personal or internal business purposes. This license does not include:

• Reproducing, distributing, or publicly displaying MA3SP website content without prior written consent

• Using our trademarks, logos, or brand identity without express written permission

• Reverse engineering, decompiling, or extracting any software or tools we make available

• Creating derivative works based on our proprietary content or methodologies

Any tools, documentation, processes, or methodologies developed by MA3SP Technology in the course of delivering services remain the intellectual property of MA3SP Technology, unless otherwise agreed in a signed written agreement.

Confidentiality

In the course of providing services, MA3SP Technology may have access to confidential information belonging to your organization, including network configurations, credentials, employee data, business processes, and financial information. We take this responsibility seriously.

MA3SP Technology agrees to:

• Hold your confidential information in strict confidence and use it solely to perform our obligations under your Service Agreement

• Limit access to your confidential information to personnel with a need to know

• Not disclose your confidential information to third parties without your prior written consent, except as required by law or court order

• Maintain technical and organizational safeguards appropriate to the sensitivity of the information

Similarly, you agree to keep confidential any proprietary methodologies, pricing structures, processes, or technology solutions provided by MA3SP Technology that are not publicly available.

Limitation of Liability

MA3SP Technology provides its website and services "as is" and "as available" without warranties of any kind, express or implied, except as required by applicable law or as expressly stated in a signed Service Agreement.

To the maximum extent permitted by applicable law, MA3SP Technology shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from or related to your use of our website or services — including but not limited to loss of data, loss of revenue, loss of business opportunity, or system downtime — even if we have been advised of the possibility of such damages.

In no event shall MA3SP Technology's total liability to you for all claims arising under these Terms exceed the total amount paid by you to MA3SP Technology in the three (3) months preceding the event giving rise to the claim.

Nothing in these Terms shall limit liability that cannot be excluded or limited by applicable law, including liability for fraud, gross negligence, or willful misconduct.

Indemnification

You agree to defend, indemnify, and hold harmless MA3SP Technology and its officers, employees, contractors, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

• Your breach of these Terms or any applicable Service Agreement

• Your violation of any applicable law or regulation

• Your negligence, willful misconduct, or misuse of MA3SP Technology services

• Any claim that information you provided to MA3SP Technology infringes the rights of a third party

MA3SP Technology reserves the right, at its own expense, to assume exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with our defense of such claim.

Termination

Either party may terminate a service relationship or account under the terms and notice periods specified in the applicable Service Agreement. In the absence of a Service Agreement, either party may terminate with thirty (30) days written notice.

MA3SP Technology reserves the right to immediately suspend or terminate your access to our website or services — without prior notice — if we reasonably determine that you have:

• Violated these Terms or any applicable policy

• Engaged in fraudulent, abusive, or illegal activity

• Failed to pay outstanding invoices following proper notice

• Acted in a manner that poses a security risk to our systems or other clients

Upon termination, any provisions of these Terms that by their nature should survive (including payment obligations, confidentiality, intellectual property, and limitation of liability) shall remain in full force and effect.

Governing Law & Disputes

These Terms shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to its conflict-of-law principles. Any disputes arising under or related to these Terms shall be subject to the exclusive jurisdiction of the state and federal courts located in Elkhart County, Indiana, and you consent to personal jurisdiction in such courts.

Before initiating formal legal proceedings, both parties agree to make a good-faith effort to resolve any dispute through direct negotiation. If a dispute cannot be resolved informally within thirty (30) days, either party may pursue available legal remedies.

Changes to These Terms

MA3SP Technology reserves the right to update or modify these Terms at any time. When we make material changes, we will:

• Update the Effective Date at the top of this page

• Post a notice on our website for a reasonable period following the change

• Notify active clients by email when changes materially affect their service relationship

Your continued use of our website or services after changes are posted constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you should discontinue use and notify us in writing.

We encourage you to review these Terms periodically. The most current version will always be available at ma3sp.technology/terms.
